Securitize Capital Registers as SEC Investment Adviser
Securitize Capital LLC, the asset management arm of tokenization firm Securitize, has registered as an investment adviser with the U.S. SEC. The move formalizes its ability to manage tokenized asset funds under federal oversight.

Securitize already serves as the issuance platform for BlackRock's BUIDL tokenized money market fund and provides infrastructure to Apollo, Hamilton Lane, KKR, and VanEck, with more than $4 billion in assets under management as of April 2026. The company carries a market capitalisation of $1.15 billion as of July 27, 2026, and is classified in the software-application segment of the technology sector. Its subsidiary Securitize Capital's new investment adviser status formally authorises it to manage client assets and provide discretionary portfolio management under the Investment Advisers Act of 1940 — a federal standard that broker-dealer or transfer agent registrations alone do not satisfy.
The registration follows a period of rapid corporate restructuring. Cantor Equity Partners II shareholders voted to approve a merger with Securitize, with 12,432,037 shares in favour and 2,151,147 against, and the combined entity began trading on the New York Stock Exchange under the ticker SECZ on July 2, 2026, after raising approximately $400 million — described by Angel Investors Network as the largest SPAC PIPE for an operating business since 2021. The PIPE component of that transaction totalled $225 million.
The adviser registration also arrives against a materially changed regulatory backdrop. The SEC issued a joint interpretive release on March 17, 2026 clarifying how federal securities law applies to tokenized securities, following a January 28, 2026 joint statement on tokenized security taxonomies. Separately, the SEC authorised a DTCC no-action position in December 2025 enabling DTC to operate a tokenized-securities pilot, which entered limited production in July 2026 and is scheduled to scale to full service in October 2026, covering Russell 1000 equities, ETFs, and Treasuries. That infrastructure development creates a settlement layer that investment advisers managing tokenized funds would need to interact with.
Securitize's regulatory footprint extends beyond the United States. According to The Defiant, the company is the only firm licensed to operate regulated digital-securities infrastructure across both the U.S. and Europe, following authorisation under the EU's DLT Pilot Regime. That dual-jurisdiction status, combined with the new adviser registration, gives Securitize Capital a compliance profile that few competitors in the tokenized-asset space currently match. The firm's backers include BlackRock, Morgan Stanley, Coinbase, and Circle, and its SEC filings list CEO Carlos Domingo at 78 SW 7th Street, Suite 500, Miami, FL 33130 as the agent for service.
The SEC registration as an investment adviser does not, on its own, establish a new fund, mandate, or client relationship. The announcement does not identify which specific asset classes Securitize Capital intends to manage under the new designation, the minimum AUM threshold it plans to maintain to retain federal registration eligibility, or the fee structures it will apply to advisory mandates. It also does not disclose whether any existing client relationships — such as those with BlackRock, Apollo, or KKR — will be restructured under the new advisory framework rather than the existing infrastructure-services agreements.
The immediate concrete effect is that Securitize Capital now holds the legal authority to act as a discretionary investment adviser under federal oversight, completing a regulatory stack that spans issuance, transfer, administration, and now portfolio management. What the registration does not establish is a live tokenized fund under Securitize Capital's own advisory mandate, a disclosed AUM target for the advisory business, or any indication of how the new designation will be separated operationally from the firm's existing infrastructure and broker-dealer activities.
